2. Acceptance of Terms
By using our website or engaging our services, you confirm that:
- You are legally capable of entering into a binding agreement.
- The information you provide to us is accurate and complete.
- You have authority to enter into an agreement on behalf of a business or organization, where applicable.
- You agree to comply with these Terms and applicable laws.
For individual projects, additional terms may be provided in a proposal, quotation, contract, invoice, or statement of work.
Where there is a conflict between these Terms and a specific written agreement signed or accepted by both parties, the specific project agreement will generally take precedence for that project.
3. Services
Adpixxels will provide the services described in the applicable proposal, quotation, invoice, statement of work, or written communication accepted by the client.
The scope of work may include:

- Theme customization

- Third-party integrations
- Responsive design
- Basic technical SEO implementation
- Website performance optimization
- Content implementation
- Testing and deployment
Unless expressly included in the agreed scope, services such as ongoing SEO campaigns, paid advertising, copywriting, professional photography, branding, hosting, domain registration, premium software licenses, third-party subscriptions, and ongoing marketing are not included.
4. Project Scope
Before beginning a project, Adpixxels may provide a project scope, quotation, proposal, or written description of the work.
The agreed scope may specify:
- Services included
- Deliverables
- Number of pages
- Features and functionality
- Platform
- Estimated timeline
- Number of revisions
- Project price
- Payment schedule
- Client responsibilities
Requests outside the agreed scope may be treated as additional work and may incur additional charges.
5. Payments
Clients agree to pay all fees according to the payment schedule provided by Adpixxels.
Depending on the project, payment may be structured as:
- Full payment in advance
- Deposit plus final payment
- Milestone payments
- Monthly payments
- Maintenance subscription
- Another mutually agreed payment schedule
Work may not begin until the required initial payment has been received.
Adpixxels reserves the right to pause work if a payment becomes overdue.
6. Advance Payments
Unless otherwise agreed in writing, advance payments are used to reserve development resources and begin project work.
Once substantial work has commenced, advance payments are generally non-refundable, subject to our Refund Policy and any mandatory rights applicable to the client.
7. Late Payments
If an invoice becomes overdue, Adpixxels may:
- Pause development work
- Suspend access to project services
- Delay delivery
- Withhold final files or website handover
- Reschedule the project
- Charge reasonable late-payment fees where agreed or permitted by applicable law
- Terminate the project where appropriate
Any resulting delays may affect the original project timeline.
8. Client Responsibilities
Clients are responsible for providing information and materials reasonably required to complete the project.
This may include:
- Website content
- Logos
- Images
- Videos
- Product information
- Brand guidelines
- Login credentials
- Hosting access
- Domain access
- Shopify/Wix/WordPress access
- Third-party platform access
- Business information
- Legal policies and compliance information
The client must ensure that materials supplied to Adpixxels are accurate and legally permitted to be used.
9. Client-Provided Content
The client retains responsibility for content, data, images, videos, trademarks, logos, product descriptions, and other materials supplied to Adpixxels.
The client represents that they have the necessary rights, permissions, and licenses to use such materials.
Adpixxels is not responsible for claims arising from unauthorized or unlawful client-provided content.
10. Website Content and Legal Compliance
Unless specifically agreed otherwise, the client is responsible for ensuring that their website complies with applicable laws and regulations.
This may include:
- Privacy requirements
- Cookie requirements
- Accessibility requirements
- Ecommerce regulations
- Consumer protection laws
- Industry-specific requirements
- Tax requirements
- Shipping and return requirements
- Advertising regulations
Adpixxels may assist with implementation of policies or technical functionality but does not provide legal advice.
Clients should obtain professional legal advice where necessary.
11. Third-Party Services
Websites may depend on third-party services, platforms, applications, plugins, APIs, hosting providers, payment processors, themes, or software.
Examples include:
- WordPress
- Shopify
- WooCommerce
- Wix
- Framer
- Hosting providers
- Payment gateways
- Email services
- Analytics platforms
- Plugins
- Shopify apps
- External APIs
Adpixxels does not control third-party services and cannot guarantee their continued availability, pricing, functionality, security, or policies.
Third-party subscription and licensing costs are normally the client’s responsibility unless specifically included in the project agreement.
12. Domain and Hosting
Unless explicitly included in the agreed service, domain registration and hosting are the client’s responsibility.
Adpixxels is not responsible for:
- Domain expiration
- Hosting outages
- Hosting restrictions
- DNS issues
- Third-party hosting failures
- Domain ownership disputes
- Hosting provider policy changes
Where Adpixxels manages hosting or domains on behalf of a client, additional terms may apply.
13. Website Development and Testing
Adpixxels will make reasonable efforts to develop websites according to the agreed specifications.
Before launch, clients may be given an opportunity to review and test the website.
The client is responsible for identifying any issues or requested changes within the agreed review period.
After approval or launch, additional changes may be treated as new work.
14. Revisions
The number of included revisions will depend on the agreed project scope.
A revision means a reasonable modification to an existing agreed design or functionality.
Requests that significantly change the original concept, functionality, structure, or scope may be considered additional work.
Examples include:
- Adding new pages
- Adding new functionality
- Changing the entire design direction
- Adding new integrations
- Changing the platform
- Rebuilding completed sections
- Adding complex custom functionality
Additional work may require a new quotation.
15. Project Timelines
Adpixxels will make reasonable efforts to meet estimated project timelines.
However, timelines may change due to:
- Delayed client feedback
- Missing content
- Delayed payments
- Changes to project scope
- Third-party services
- Technical issues
- Hosting problems
- Platform limitations
- Unforeseen development requirements
Project timelines are estimates unless a specific delivery date has been expressly agreed in writing.
16. Client Delays
If the client does not provide required content, feedback, approvals, access, or payments within a reasonable timeframe, Adpixxels may pause the project.
Extended delays may result in:
- Revised delivery dates
- Additional charges
- Project rescheduling
- Reallocation of development resources
17. Website Ownership and Intellectual Property
Upon receipt of all outstanding payments, ownership of the final custom work specifically created for the client will generally transfer to the client, subject to third-party licenses and the terms of the applicable project agreement.
Adpixxels retains ownership of:
- Pre-existing code
- Development frameworks
- Reusable components
- Internal tools
- Templates
- Libraries
- Processes
- Generic development techniques
- Pre-existing intellectual property
Where third-party themes, plugins, apps, fonts, images, or software are used, ownership remains subject to their respective licenses.
18. Third-Party Licenses
Some website components may be licensed rather than owned.
The client may be required to maintain licenses for:
- Premium WordPress themes
- Plugins
- Shopify apps
- Fonts
- Stock images
- Software
- APIs
- Other third-party resources
Adpixxels cannot guarantee that a third-party license will remain available or maintain its pricing or terms.
19. Portfolio Rights
Unless otherwise agreed in writing, Adpixxels may display completed client projects in its portfolio, website, social media, case studies, presentations, and marketing materials.
This may include:
- Website screenshots
- Project descriptions
- Client/business name
- General information about the project
If a project is confidential or subject to an NDA, Adpixxels will respect the applicable confidentiality obligations.
20. Confidentiality
Adpixxels will take reasonable steps to protect confidential information provided by clients.
Confidential information may include:
- Business strategies
- Login credentials
- Private documents
- Customer information
- Financial information
- Proprietary business information
- Unreleased products or services
Confidential information will not knowingly be disclosed to third parties except where:
- Required to provide the service
- Authorized by the client
- Required by law
- Necessary to protect legal rights or security
21. Website Security
Adpixxels will make reasonable efforts to implement appropriate security practices within the scope of the services.
However, no website, server, platform, plugin, application, or internet transmission can be guaranteed to be completely secure.
Adpixxels is not responsible for security incidents caused by:
- Vulnerable third-party software
- Compromised client credentials
- Poor hosting security
- Client actions
- Outdated plugins or applications
- Third-party platform vulnerabilities
- Malware introduced after project completion
- Unauthorized access outside Adpixxels’ reasonable control
Ongoing security monitoring and maintenance should be covered under a separate maintenance agreement where required.
22. SEO Services
Where SEO-friendly development is included, Adpixxels may implement technical and on-page SEO best practices.
However, Adpixxels does not guarantee:
- Google rankings
- Bing rankings
- A specific position in search results
- A specific amount of organic traffic
- A specific number of leads or sales
- Search engine indexing within a particular timeframe
Search engine algorithms and ranking factors are controlled by third parties.
23. Performance Optimization
Where website speed optimization is included, Adpixxels will make reasonable efforts to improve website performance.
Actual performance may vary depending on:
- Hosting
- Server location
- Third-party scripts
- Plugins
- Apps
- Theme architecture
- Images and videos
- Customer devices
- Internet connection
- External services
Specific PageSpeed or Core Web Vitals scores are not guaranteed unless expressly stated in the project agreement.
24. Ecommerce Websites
For ecommerce projects, the client remains responsible for:
- Product information
- Prices
- Taxes
- Shipping rules
- Inventory
- Payment settings
- Refund policies
- Terms and conditions
- Customer communications
- Regulatory compliance
Adpixxels provides technical development services and does not act as the seller of the client’s products or services.
25. Maintenance Services
If a client purchases a maintenance plan, the services included will depend on the selected plan.
Maintenance may include:
- Website updates
- Plugin updates
- Theme updates
- Minor content changes
- Technical troubleshooting
- Basic security checks
- Backup assistance
- Minor design adjustments
Major redesigns, new features, custom development, migrations, and extensive troubleshooting may be charged separately.
26. Suspension or Termination
Either party may terminate a project or service arrangement subject to the applicable agreement.
Adpixxels may suspend or terminate services where:
- Payments remain overdue
- The client repeatedly breaches these Terms
- The client requests unlawful work
- The client provides fraudulent information
- The client abuses or threatens staff
- The project cannot reasonably continue
- Continued service creates significant legal or security risk
Termination does not automatically cancel amounts already owed.
27. Refunds
Refund requests are governed by our Refund Policy.
In general, once substantial work has been completed, fees relating to completed work, purchased resources, third-party services, and committed development time may not be refundable.
Nothing in these Terms is intended to remove any mandatory consumer rights that cannot legally be excluded.
28. Chargebacks
Clients agree to contact Adpixxels first regarding billing disputes or service concerns and provide a reasonable opportunity to resolve the issue.
Unauthorized chargebacks may result in:
- Suspension of services
- Suspension of website access where legally permitted
- Recovery of unpaid balances
- Dispute of the chargeback
- Additional reasonable costs associated with the dispute
This section does not prevent clients from exercising legitimate rights available under applicable law.
29. Disclaimer of Warranties
To the maximum extent permitted by law, Adpixxels provides its services on an “as available” and “reasonable efforts” basis.
We do not guarantee that:
- The website will always be available
- The website will be completely error-free
- Third-party services will always operate
- Search engine rankings will increase
- The website will generate a specific revenue amount
- The website will generate a specific number of leads
- Third-party platforms will remain unchanged
30. Limitation of Liability
To the maximum extent permitted by applicable law, Adpixxels will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our services.
This may include losses related to:
- Lost revenue
- Lost profits
- Lost business opportunities
- Lost data
- Website downtime
- Third-party service interruptions
- Search engine ranking changes
- Security incidents outside our reasonable control
Where permitted by law, Adpixxels’ total liability arising from a specific project will not exceed the total amount actually paid to Adpixxels for that project during the applicable period.
This limitation does not apply where liability cannot legally be limited.
31. Indemnification
To the extent permitted by law, the client agrees to indemnify and hold Adpixxels harmless from claims, damages, liabilities, and reasonable expenses arising from:
- Client-provided content
- Copyright or trademark infringement caused by client materials
- Unlawful products or services
- Client’s misuse of the website
- Client’s violation of applicable laws
- Client’s breach of these Terms
32. Prohibited Activities
Clients may not use Adpixxels services to create or operate websites that:
- Violate applicable laws
- Promote illegal activities
- Infringe intellectual property rights
- Distribute malware
- Facilitate fraud
- Conduct phishing or other deceptive activities
- Abuse third-party systems
- Distribute unauthorized copyrighted material
- Otherwise create unreasonable legal or security risks
Adpixxels reserves the right to refuse or terminate work that violates these requirements.
33. Communication
Project communication may take place through:
- Phone
- Video meetings
- Messaging platforms

- Other agreed communication channels
Clients are responsible for reviewing project communications and providing timely responses.
34. Electronic Acceptance
Electronic acceptance of a proposal, quotation, invoice, order form, or agreement may constitute acceptance of these Terms where permitted by applicable law.

- Online payment
- Digital signatures

35. Privacy
